Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Verneek Inc. ("Verneek," "we," "us," or "our") and the entity or individual ("Customer," "you," or "your") accessing or using our website, AI platform, and related services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY (SUCH AS AN ENTERPRISE RETAILER), YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY.
1. The Service and AI Functionality
Verneek provides an AI-native platform designed for enterprise retail environments. You acknowledge that the Service utilizes non-deterministic generative artificial intelligence. This means that:
Evolution of Service: The Service is evolving. We may change or discontinue any part of the Service at any time to improve model performance or security.
Third-Party Models: Verneek may utilize a "constellation" of proprietary, open-weight, and third-party large language models (LLMs) to power the Service.
2. Eligibility and Use Restrictions
Age and Authority: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
Prohibited Conduct: You shall not, and shall not permit any third party to:
Use the Service to build a product that competes with Verneek.
Engage in "jailbreaking," prompt injection, or any attempt to bypass the Service’s safety filters.
Use the Service for high-risk automated decision-making (e.g., automated hiring or credit scoring) without a separate written agreement and compliance with NYC Local Law 144 where applicable.
Extract data through automated scraping or "crawling" that exceeds the scope of the provided API or interface.
3. Data and Intellectual Property
Customer Data: You retain all ownership rights to the data, text, and information you provide to the Service ("Input"). You grant Verneek a license to host and process Input solely to provide the Service.
Outputs: Subject to your compliance with these Terms, Verneek hereby assigns to you all its right, title, and interest in and to the specific results generated by the AI for you ("Output").
Non-Uniqueness: You acknowledge that due to the nature of machine learning, Output may not be unique across users. Other customers may receive the same or similar output for similar prompts.
AI Improvement: Consistent with our Privacy Policy, we may use de-identified Input and Output to train and improve our proprietary models. Enterprise Customers with dedicated instances may opt-out of this via a signed Master Service Agreement (MSA).
4. AI Performance and "Human-in-the-Loop"
No Accuracy Guarantee: AI-generated Output may occasionally contain errors, hallucinations, or biased content. Verneek does not warrant the accuracy or factual correctness of any Output.
Business Reliance: For enterprise retail operations (e.g., pricing, inventory, or legal descriptions), you agree to implement a "Human-in-the-Loop" review process. You are solely responsible for verifying Output before it is used in a production or consumer-facing environment.
Bias Mitigation: Verneek employs supervisory models to reduce bias, but Customer remains responsible for ensuring their use of the Service complies with their own internal diversity and fairness policies.
5. Fees and Payments (B2B)
Access to certain features is subject to the payment of fees as specified in an applicable Sales Order or online checkout. All payment obligations are non-cancelable and fees paid are non-refundable.
6. Limitation of Liability and Indemnification
Disclaimer: THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERNEEK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification: You agree to indemnify and hold Verneek harmless from any third-party claims arising from (i) your Input violating IP or privacy rights; (ii) your use of Output in a misleading or unlawful manner; or (iii) your violation of these Terms.
7. Data Privacy and Security
Your use of the Service is governed by the Verneek Privacy Policy, which is incorporated herein. For Enterprise Customers, Verneek will enter into a separate Data Processing Addendum (DPA) upon request to meet CCPA/CPRA and GDPR requirements for retailers.
8. Termination
By You: You may stop using the Service at any time.
By Verneek: We may suspend or terminate your access for any material breach of these Terms, including failure to pay or attempts to reverse-engineer our AI models.
Survival: Provisions regarding IP ownership, liability, and dispute resolution survive termination.
9. Governing Law and Dispute Resolution
New York Jurisdiction: These Terms are governed by the laws of the State of New York.
Arbitration: Any dispute shall be settled by binding arbitration in New York, NY, under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in court to protect intellectual property rights.
